The policies and terms governing the use of Axra banking and payment services by GoFree Global Inc.

1. Acceptance of Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and GoFree Global Inc., a Delaware corporation ("Axra," "we," "us," or "our"), governing your access to and use of Axra's agentic banking and payments infrastructure, including but not limited to our website, mobile applications, messaging platform integrations (WhatsApp, Telegram), API services, and all related services (collectively, the "Services").

By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Services.

We reserve the right to modify, amend, or update these Terms at any time. Material changes will be communicated via email, in-app notification, or through our messaging channels. Your continued use of the Services following such notification constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.


2. About Axra and Regulatory Status

2.1 Corporate Structure

Axra is a financial technology platform operated by:

  • GoFree Global Inc., a Delaware corporation with principal address at 1111B S Governors Ave STE 48051, Dover, DE 19904, United States
  • GoFree Global Technology Limited, a Canadian entity registered at 2967 Dundas St. W. #1037, Toronto, ON M6P 1Z2, Canada
  • Additional operating entities in Nigeria and Rwanda

2.2 Regulatory Registrations

Axra maintains the following regulatory registrations:

  • FinCEN (United States): Registered Money Services Business (MSB)

2.3 Not a Bank

IMPORTANT: Axra is not a bank and does not hold a banking charter. We are a financial technology company that provides technology infrastructure and facilitates access to financial services through partnerships with licensed financial institutions and payment service providers.

Banking services, including deposit accounts and virtual account numbers, are provided by our licensed partner financial institutions. Where applicable, deposits held by our partner institutions may be eligible for FDIC insurance up to applicable limits, subject to the terms and conditions of those institutions. Axra does not guarantee FDIC insurance coverage and makes no representations regarding insurance eligibility. Users should consult with partner institutions regarding specific insurance coverage.


3. Eligibility

3.1 Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to create an Axra account and use the Services. By creating an account, you represent and warrant that you meet this age requirement.

3.2 Geographic Restrictions

The Services are available in over 180 countries and territories. However, certain jurisdictions may be restricted or prohibited based on applicable laws, regulations, sanctions programs, and the policies of our partner institutions. We reserve the right to refuse service to users in any jurisdiction at our sole discretion.

You may not use the Services if:

  • You are located in, or a resident or national of, any country or region subject to comprehensive sanctions by the United States, United Nations, European Union, or United Kingdom
  • You appear on any sanctions list maintained by OFAC, UN, EU, or HM Treasury
  • You are prohibited from using the Services under applicable law

3.3 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information to keep it accurate, current, and complete. Providing false, misleading, or inaccurate information may result in immediate account suspension or termination, and may constitute a violation of applicable law.

3.4 Business Use

If you are registering for an Axra account on behalf of a business, organization, or other legal entity, you represent and warrant that you are duly authorized to act on behalf of such entity and to bind it to these Terms.


4. Account Registration and Security

4.1 Account Creation

To access most features of the Services, you must create an Axra account. Account creation requires, at minimum, a valid email address. Additional information may be required based on the verification level you choose or as required by applicable law.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, transaction PIN, two-factor authentication codes, and any other security measures associated with your account. You agree to:

  • Use a strong, unique password that is not used for any other service
  • Enable two-factor authentication (2FA) when available
  • Keep your transaction PIN confidential and not share it with any third party
  • Immediately notify us of any unauthorized access to or use of your account
  • Log out from your account at the end of each session when using a shared device

You are solely responsible for all activities that occur under your account, whether or not authorized by you. We will not be liable for any loss or damage arising from your failure to maintain adequate security measures.

4.3 Transaction PIN

Users must establish a 4-digit Personal Identification Number (PIN) for transaction confirmation. Your PIN:

  • Must not consist of sequential digits (e.g., 1234, 4321)
  • Must not consist entirely of repeated digits (e.g., 1111, 5555)
  • Must not match common patterns (e.g., 0000, 1234, 1111)
  • Is cryptographically hashed and stored securely using industry-standard bcrypt algorithms
  • Is required to confirm all outbound transfers and certain sensitive account actions

You are limited to five (5) PIN entry attempts for any transaction. After five failed attempts, your account will be temporarily locked for 30 minutes. Repeated failures may result in additional security measures or account restrictions.

4.4 Two-Factor Authentication (2FA)

We strongly encourage, and may require for certain account levels, the use of time-based one-time password (TOTP) two-factor authentication. When enabled, you will need to provide both your password and a time-sensitive code generated by your authenticator application to access your account.

4.5 Account Recovery

Account recovery procedures are available if you lose access to your credentials. However, for security reasons, certain recovery procedures may require additional verification, documentation, or waiting periods. We are not responsible for loss of access to your account due to lost credentials or authenticator devices.


5. Services Description

5.1 Overview

Axra provides agentic banking and payments infrastructure for individuals, businesses, and platforms, including:

  • Multi-currency digital wallets
  • Virtual account numbers (USD, EUR, GBP)
  • Stablecoin wallets (USDC, EURC, and other supported stablecoins)
  • International money transfers
  • Payment processing services
  • AI-powered banking agents accessible via WhatsApp, Telegram, and web applications
  • Developer APIs and integration tools

5.2 Multi-Currency Wallets

Your Axra account includes access to multi-currency wallet functionality, allowing you to hold, send, and receive funds in multiple fiat currencies and stablecoins, subject to applicable transaction limits and verification requirements.

5.3 Virtual Account Numbers

Subject to verification requirements, eligible users may receive virtual account numbers denominated in USD, EUR, GBP, and other supported currencies. These account numbers are provided by our licensed partner financial institutions and allow you to receive funds via local payment rails including ACH (United States), SEPA (Europe), Faster Payments (United Kingdom), SPEI (Mexico), PIX (Brazil), and other supported payment methods.

5.4 Stablecoin Wallets

Axra supports stablecoin deposits, storage, and withdrawals on multiple blockchain networks, including but not limited to:

  • Solana
  • Base
  • Ethereum
  • Arbitrum
  • Optimism
  • Polygon

Stablecoin transactions are subject to blockchain network fees, confirmation times, and smart contract risks. You acknowledge that stablecoin values may fluctuate and that blockchain transactions are irreversible once confirmed on-chain.

5.5 International Transfers

Axra facilitates international money transfers through our network of partner institutions and payment processors. Transfer availability, speed, fees, and exchange rates vary by destination country, currency, payment method, and your verification level.

5.6 AI-Powered Banking Agents

Axra provides AI-powered conversational banking agents accessible through messaging platforms (WhatsApp, Telegram) and web interfaces. These agents assist with account management, transaction initiation, balance inquiries, and other banking functions. While our AI agents are designed to facilitate your use of the Services, all transactions initiated through AI agents are subject to your explicit confirmation, including PIN verification for transfers.

Important: AI-generated responses are provided for convenience and may not always be accurate or complete. You should verify all transaction details before confirming. We are not liable for errors, misunderstandings, or losses resulting from AI agent interactions.

5.7 Developer APIs

Businesses and developers may access Axra's APIs and integration tools subject to separate API terms and technical documentation. API access may be subject to additional fees, rate limits, and compliance requirements.


6. Know Your Customer (KYC) and Anti-Money Laundering (AML) Compliance

6.1 Verification Requirements

Axra is required by law to verify the identity of users and monitor transactions for suspicious activity. We maintain multiple verification levels, each with different capabilities and transaction limits:

NONE (Email Only)

  • Requirements: Valid email address
  • Transaction Limits: $0 per day (view-only access)
  • Capabilities: Account creation, service exploration

BASIC

  • Requirements: Full name, date of birth, address, phone number
  • Transaction Limits: $1,000 per day
  • Capabilities: Basic send and receive functionality

STANDARD

  • Requirements: Government-issued ID verification, proof of address, enhanced KYC through our partner Bridge
  • Transaction Limits: $10,000 per day
  • Capabilities: Full platform access, virtual account numbers, international transfers

ENHANCED

  • Requirements: Additional documentation, enhanced due diligence, source of funds verification
  • Transaction Limits: $50,000 per day
  • Capabilities: Higher transaction volumes, business account features

Transaction limits are cumulative across all transaction types and reset daily at 00:00 UTC. We reserve the right to adjust verification levels and transaction limits based on risk assessment, regulatory requirements, or at our sole discretion.

6.2 Verification Process

When you submit identity verification information, you authorize us and our third-party identity verification partners to:

  • Verify the information you provide against government databases, credit bureaus, and other data sources
  • Obtain credit reports or consumer reports for verification purposes
  • Request additional documentation or information as needed
  • Retain copies of verification documents for compliance purposes

Verification processing times vary. We will make reasonable efforts to process verification requests promptly, but we do not guarantee any specific timeframe.

6.3 Ongoing Monitoring

You acknowledge and agree that we continuously monitor accounts and transactions for suspicious activity, including:

  • Unusual transaction patterns or velocity
  • Transactions involving high-risk jurisdictions
  • Cumulative transaction volumes approaching or exceeding limits
  • Potential sanctions matches
  • Indicators of fraud, money laundering, or other illicit activity

We reserve the right to request additional information, delay or block transactions, or suspend accounts based on the results of such monitoring.

6.4 Sanctions Screening

All users and transactions are screened against sanctions lists maintained by:

  • Office of Foreign Assets Control (OFAC)
  • United Nations Security Council
  • European Union
  • HM Treasury (United Kingdom)
  • Other applicable sanctions authorities

If you are identified as a sanctioned individual or entity, or if you attempt to transact with a sanctioned party or jurisdiction, your account will be immediately suspended and funds may be frozen pending investigation and reporting to appropriate authorities.

6.5 Cooperation with Authorities

We cooperate fully with law enforcement, regulatory authorities, and financial intelligence units. We are required by law to file Suspicious Activity Reports (SARs) and Currency Transaction Reports (CTRs) with FinCEN, FINTRAC, and other relevant authorities. You acknowledge that we cannot notify you if your account or transactions are the subject of such reporting.


7. Transaction Confirmation and Authorization

7.1 Transfer Confirmation Process

All outbound transfers initiated through Axra, regardless of channel (web, mobile, WhatsApp, Telegram, or API), require explicit confirmation through our web-based confirmation interface. Even if a transfer is initiated via a messaging platform or AI agent, you will receive a secure confirmation link directing you to our web application where you must:

  1. Review the complete transfer details (recipient, amount, currency, fees)
  2. Enter your 4-digit transaction PIN
  3. Explicitly confirm the transaction

This multi-step confirmation process is designed to prevent unauthorized transactions and ensure that you have full visibility into and control over all transfers from your account.

7.2 Confirmation Expiration

Transfer confirmation requests expire after 15 minutes. If you do not confirm a transfer within this timeframe, the transaction will be automatically cancelled and funds will remain in your account. Expired confirmation requests cannot be resumed; you must initiate a new transfer.

7.3 Transaction Irreversibility

Once a transaction is confirmed with your PIN, it is generally irreversible. Payment rails and blockchain networks process transactions with finality, and we typically cannot recall, cancel, or reverse completed transfers. You are responsible for ensuring the accuracy of all transfer details before confirming. We are not liable for losses resulting from transfers to incorrect recipients, wrong amounts, or other user errors.

7.4 Authorization for AI Agent Interactions

By using our AI-powered banking agents, you authorize the agents to:

  • Access your account information and transaction history
  • Provide you with account balances, transaction details, and other account information
  • Initiate transfer requests on your behalf, subject to your explicit PIN confirmation
  • Perform routine account management functions as requested

You acknowledge that AI agent interactions do not constitute final transaction authorization. All material transactions require your explicit confirmation as described in Section 7.1.


8. Fees and Exchange Rates

8.1 Fee Structure

Axra may charge fees for certain Services, including but not limited to:

  • Transfer fees (percentage-based or flat fees)
  • Currency exchange fees
  • Blockchain network fees (for cryptocurrency and stablecoin transactions)
  • Expedited transfer fees
  • Account maintenance fees (for certain account types)
  • Wire transfer fees
  • Premium feature access fees

Current fee schedules are published on our website and are available within the application. We reserve the right to modify our fee structure at any time with reasonable notice.

8.2 Fee Disclosure

We will disclose all applicable fees before you confirm any transaction. For transfers, the total fee amount will be displayed in the confirmation interface before you enter your PIN. By confirming the transaction, you agree to pay all disclosed fees.

8.3 Exchange Rates

When you send or receive funds in a currency different from your wallet currency, we will apply an exchange rate that includes our exchange rate margin. Exchange rates fluctuate continuously based on market conditions. The exchange rate displayed at the time of transaction initiation may differ from the rate applied at the time of execution due to market volatility.

We obtain exchange rate data from third-party financial data providers and may add a margin to cover costs and generate revenue. The margin varies by currency pair and transaction size. The exchange rate and any margin will be disclosed before you confirm the transaction.

8.4 Third-Party Fees

You may be subject to additional fees imposed by third parties, including:

  • Blockchain network fees (gas fees)
  • Intermediary bank fees (for international wire transfers)
  • Receiving bank fees
  • Payment processor fees

We are not responsible for third-party fees and cannot guarantee the total cost of transactions that involve third-party service providers.

8.5 Fee Deduction

Fees are typically deducted from your wallet balance at the time of transaction. For certain transaction types, fees may be deducted from the transfer amount. The fee structure for each transaction type will be clearly disclosed.


9. Transaction Limits

9.1 Daily Limits

Transaction limits vary based on your verification level as described in Section 6.1:

  • NONE: $0 per day
  • BASIC: $1,000 per day
  • STANDARD: $10,000 per day
  • ENHANCED: $50,000 per day

Daily limits are cumulative across all transaction types (sends, withdrawals, purchases) and reset at 00:00 UTC each day.

9.2 Velocity Controls

In addition to daily limits, we maintain velocity controls that monitor transaction frequency and patterns. Even if you have not reached your daily limit, we may decline, delay, or flag transactions that:

  • Occur in rapid succession
  • Follow unusual patterns inconsistent with your transaction history
  • Involve high-risk recipients or jurisdictions
  • Trigger other risk indicators

9.3 Limit Adjustments

We reserve the right to adjust your transaction limits at any time based on:

  • Risk assessment
  • Account activity and history
  • Compliance requirements
  • Changes in applicable law or partner institution policies
  • Suspicious activity indicators

You may request a limit increase by upgrading your verification level, providing additional documentation, or contacting our support team. Limit increases are not guaranteed and are granted at our sole discretion.

9.4 Regulatory Limits

Certain transaction types are subject to regulatory reporting thresholds. Transactions at or exceeding these thresholds may be reported to regulatory authorities and may be subject to additional review or delays.


10. Prohibited Activities

You agree not to use the Services for any unlawful purpose or in violation of these Terms. Prohibited activities include, but are not limited to:

10.1 Illegal Activities

  • Money laundering or terrorist financing
  • Fraud, forgery, or misrepresentation
  • Structuring transactions to evade reporting requirements
  • Violating any applicable law, regulation, or ordinance
  • Facilitating or participating in illegal gambling, drug trafficking, human trafficking, or other criminal activities

10.2 Sanctions Evasion

  • Transacting with individuals or entities on sanctions lists
  • Sending or receiving funds to or from sanctioned jurisdictions
  • Using the Services to circumvent economic sanctions or export controls
  • Using intermediaries or layered transactions to evade sanctions screening

10.3 Platform Abuse

  • Creating multiple accounts to evade transaction limits or verification requirements
  • Using automated systems, bots, or scripts to access the Services (except authorized API use)
  • Reverse engineering, decompiling, or attempting to extract source code from the Services
  • Transmitting viruses, malware, or other harmful code
  • Engaging in any activity that interferes with or disrupts the Services

10.4 High-Risk Businesses

Without prior written approval, you may not use the Services in connection with:

  • Unlicensed money transmission or currency exchange services
  • Unregistered securities offerings
  • Ponzi schemes, pyramid schemes, or multi-level marketing programs
  • Cryptocurrency mixing or tumbling services
  • Darknet marketplace transactions
  • Unregulated gambling or gaming services
  • Adult entertainment services in certain jurisdictions
  • Cannabis-related businesses in jurisdictions where not legal
  • Weapons or munitions sales (in certain jurisdictions)

10.5 Intellectual Property Violations

  • Infringing copyrights, trademarks, trade secrets, or other intellectual property rights
  • Selling counterfeit goods or pirated content
  • Unauthorized use of Axra's trademarks, logos, or brand assets

10.6 Account Misuse

  • Providing false, misleading, or inaccurate information
  • Impersonating another person or entity
  • Sharing or selling your account access
  • Using another person's account without authorization
  • Attempting to access accounts you do not own

Violation of any prohibited activity may result in immediate account suspension or termination, forfeiture of funds, reporting to law enforcement, and legal action.


11. Intellectual Property Rights

11.1 Axra Intellectual Property

The Services, including all content, features, functionality, software, source code, algorithms, user interfaces, designs, trademarks, logos, and all intellectual property rights therein, are owned by Axra, its licensors, or other providers of such material. They are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and foreign jurisdictions.

11.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purpose. This license does not include any right to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from the Services
  • Use any data mining, robots, scraping, or similar data gathering or extraction methods
  • Download any portion of the Services (except as expressly permitted)
  • Use the Services for any commercial purpose not expressly authorized by these Terms

11.3 Trademarks

"Axra," "GoFree Global," and all related logos, product names, and service names are trademarks of GoFree Global Inc. or its affiliates. You may not use these trademarks without our prior written consent. All other trademarks, service marks, and trade names referenced in the Services are the property of their respective owners.

11.4 Feedback

If you provide us with any feedback, suggestions, ideas, or other input regarding the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Feedback in any form, media, or technology, whether now known or hereafter developed, without any obligation to compensate you.


12. Third-Party Services and Partners

12.1 Partner Financial Institutions

Banking services, including deposit accounts and virtual account numbers, are provided by our licensed partner financial institutions, not by Axra. You acknowledge that your relationship with partner institutions is governed by their separate terms and conditions, and that Axra is not a party to or responsible for such relationships.

12.2 Bridge and Payment Processors

Axra partners with Bridge and other payment processors to facilitate KYC verification, payment processing, virtual account provisioning, and other financial services. When you use Services that rely on these partners, you may be subject to their separate terms of service and privacy policies. We are not responsible for the acts or omissions of our third-party partners.

12.3 Blockchain Networks

Stablecoin and cryptocurrency transactions utilize third-party blockchain networks. Axra does not operate, control, or maintain these networks. You acknowledge that:

  • Blockchain transactions are irreversible once confirmed on-chain
  • Network congestion may result in delayed transactions
  • Network fees (gas fees) are determined by network conditions and are beyond our control
  • Smart contract risks and blockchain vulnerabilities may result in loss of funds
  • Hard forks, network upgrades, or protocol changes may affect your ability to access or transact in digital assets

12.4 Third-Party Links

The Services may contain links to third-party websites, applications, or services. We do not endorse, control, or assume responsibility for any third-party content, products, or services. Your use of third-party services is at your own risk and subject to their terms and conditions.

12.5 Third-Party Data Providers

We use third-party data providers for exchange rates, sanctions screening, identity verification, and other services. While we make reasonable efforts to ensure data accuracy, we are not liable for errors, delays, or inaccuracies in third-party data.


13. Service Availability and Modifications

13.1 Service Availability

We strive to make the Services available 24/7/365. However, the Services may be unavailable due to:

  • Scheduled maintenance
  • System upgrades
  • Technical difficulties
  • Force majeure events
  • Actions by third-party service providers
  • Regulatory requirements

We do not guarantee uninterrupted access to the Services and are not liable for any unavailability, downtime, or service interruptions.

13.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We may:

  • Add or remove features
  • Change fee structures
  • Modify transaction limits
  • Update supported currencies, countries, or payment methods
  • Discontinue support for certain devices, platforms, or browsers

We are not liable to you or any third party for any modification, suspension, or discontinuance of the Services.

13.3 Feature Availability

Certain features may be available only to users in specific jurisdictions, verification levels, or account types. Feature availability is subject to change and may be restricted based on regulatory requirements, risk assessment, or business decisions.


14. Account Suspension and Termination

14.1 Termination by You

You may close your Axra account at any time by:

  • Following the account closure process in your account settings
  • Contacting our support team
  • Submitting a written termination request to our registered address

Upon account closure, you must withdraw all funds from your account. We may charge a fee for certain withdrawal methods. If you do not withdraw funds within 30 days of account closure, we may return funds to their source or, if return is not possible, hold them subject to applicable escheatment or unclaimed property laws.

14.2 Suspension by Axra

We may suspend your account or restrict access to specific features at any time if:

  • We suspect fraudulent, suspicious, or illegal activity
  • Your account triggers sanctions screening alerts
  • You violate these Terms or any applicable law
  • Your account exhibits unusual activity patterns
  • We are required to do so by law, regulation, or court order
  • We believe suspension is necessary to protect Axra, our partners, or other users

During suspension, you may not be able to access your account, initiate transactions, or withdraw funds. We will make reasonable efforts to notify you of suspensions and provide an opportunity to address the underlying issue, except where notification would compromise an investigation or violate legal requirements.

14.3 Termination by Axra

We reserve the right to terminate your account at any time, with or without cause, with or without notice. Grounds for termination include:

  • Material breach of these Terms
  • Providing false or misleading information
  • Engaging in prohibited activities
  • Multiple suspicious activity flags
  • Extended period of account inactivity
  • Risk assessment determination
  • Regulatory or partner institution requirements
  • Business decision to cease offering Services in your jurisdiction

Upon termination, your access to the Services will be immediately revoked. We will make reasonable efforts to allow you to withdraw funds, subject to compliance with applicable laws and resolution of any pending issues.

14.4 Effect of Termination

Upon termination of your account:

  • All licenses granted under these Terms immediately terminate
  • You must cease all use of the Services
  • You remain liable for all obligations incurred prior to termination
  • Sections of these Terms that by their nature should survive termination will continue to apply

14.5 No Liability for Termination

To the maximum extent permitted by law, we are not liable to you or any third party for suspension or termination of your account, including any resulting inability to access funds (subject to applicable law regarding return of customer funds).


15. Limitation of Liability

15.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE SERVICES WILL BE CORRECTED
  • THE SERVICES ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS

15.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXRA, GOFREE GLOBAL INC., GOFREE GLOBAL TECHNOLOGY LIMITED, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR PARTNERS (COLLECTIVELY, "AXRA PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
  • LOSS OF DATA OR INFORMATION
  • LOSS OF GOODWILL OR REPUTATION
  • COST OF SUBSTITUTE SERVICES
  • BUSINESS INTERRUPTION
  • ANY OTHER COMMERCIAL DAMAGES OR LOSSES

ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT AXRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF THE AXRA PARTIES FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(A) THE TOTAL FEES PAID BY YOU TO AXRA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

15.4 Third-Party Actions

WE ARE NOT LIABLE FOR:

  • ACTS OR OMISSIONS OF THIRD PARTIES, INCLUDING PARTNER FINANCIAL INSTITUTIONS, PAYMENT PROCESSORS, BLOCKCHAIN NETWORKS, OR OTHER SERVICE PROVIDERS
  • DELAYS, FAILURES, OR ERRORS IN PAYMENT PROCESSING BY THIRD PARTIES
  • LOSS OF FUNDS DUE TO BLOCKCHAIN NETWORK ISSUES, SMART CONTRACT VULNERABILITIES, OR CRYPTOCURRENCY PRICE VOLATILITY
  • INCORRECT OR FRAUDULENT INSTRUCTIONS PROVIDED BY YOU
  • UNAUTHORIZED ACCESS TO YOUR ACCOUNT RESULTING FROM YOUR FAILURE TO MAINTAIN SECURITY

15.5 Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

15.6 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the limitations and exclusions in this Section 15 shall apply to the maximum extent permitted by applicable law.


16. Indemnification

You agree to defend, indemnify, and hold harmless the Axra Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising from:

  1. Your use of or inability to use the Services
  2. Your violation of these Terms
  3. Your violation of any applicable law, regulation, or rights of any third party
  4. Your provision of false, misleading, or inaccurate information
  5. Your negligence or willful misconduct
  6. Any transactions you initiate or confirm through the Services
  7. Unauthorized use of your account resulting from your failure to maintain security
  8. Your use of the Services in connection with prohibited activities

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. This indemnification obligation will survive termination of these Terms and your use of the Services.


17. Dispute Resolution and Arbitration

17.1 Informal Resolution

If you have a dispute with Axra, you agree to first contact our support team to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes through customer support.

You agree to provide a detailed description of the dispute and your proposed resolution. We will respond within 30 business days. If we cannot resolve the dispute informally, you may proceed to arbitration as described below.

17.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and, if applicable, the AAA's Supplementary Procedures for Consumer Related Disputes (collectively, "AAA Rules").

BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION AND WAIVE YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

17.3 Arbitration Procedure

  • The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA Rules
  • The arbitration shall be conducted in English
  • The arbitration venue shall be Wilmington, Delaware, unless otherwise agreed by the parties or permitted under the AAA Rules
  • The arbitrator shall apply Delaware law, excluding its conflicts of law principles
  • The arbitrator may award any relief that would be available in court, including injunctive or declaratory relief
  • The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction

17.4 Arbitration Fees

For consumer disputes where the amount in controversy is $75,000 or less, Axra will pay all AAA filing, administration, and arbitrator fees, unless the arbitrator finds the arbitration to be frivolous. For all other disputes, fees shall be allocated in accordance with the AAA Rules.

17.5 Class Action Waiver

YOU AGREE THAT DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE PLAINTIFF, OR SIMILAR PROCEEDING ("CLASS ACTION"). YOU EXPRESSLY WAIVE ANY ABILITY TO MAINTAIN A CLASS ACTION IN ANY FORUM.

If the Class Action Waiver is found to be illegal or unenforceable as to all or some parts of a dispute, then those parts shall be severed and proceed in a court of law, while the remaining parts shall proceed in arbitration.

17.6 Exceptions to Arbitration

Notwithstanding the foregoing, either party may:

  1. Bring an individual action in small claims court if the claim qualifies
  2. Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights

17.7 Opt-Out Right

You have the right to opt out of binding arbitration within thirty (30) days of first accepting these Terms by sending written notice to:

The notice must include your full name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, the dispute resolution provisions in Section 17.8 shall apply.

17.8 Governing Law and Jurisdiction (if Arbitration Waived)

If you validly opt out of arbitration or if the arbitration provisions are found to be unenforceable, you agree that:

  • These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law principles
  • Any judicial proceeding shall be brought exclusively in the state or federal courts located in Wilmington, Delaware
  • You irrevocably consent to the personal jurisdiction and venue of such courts

18. Governing Law

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any principles of conflicts of law that would require the application of the laws of another jurisdiction.

To the extent permitted by law, the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.


19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Axra regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Services.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

19.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. Any attempted assignment in violation of this section shall be void. We may assign these Terms or delegate any of our obligations without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

19.5 No Third-Party Beneficiaries

These Terms are for the benefit of you and Axra only and are not intended to confer third-party beneficiary rights upon any other person or entity, except as expressly provided herein (e.g., indemnification of Axra Parties).

19.6 Notices

We may provide notices to you via email, through the Services, or by posting to our website. You agree that electronic notices satisfy any legal requirement that notices be in writing. Notices to Axra must be sent to:

19.7 Export Controls

The Services may be subject to export control and economic sanctions laws of the United States and other jurisdictions. You agree to comply with all applicable export control and sanctions laws and regulations, and you represent and warrant that you are not located in, under the control of, or a national or resident of any restricted country or on any restricted parties list.

19.8 Language

These Terms are prepared and executed in English. Any translation is provided for convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.

19.9 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

19.10 Survival

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.
